Description
As Corporate Paralegal, you will be an integral part of the Corporate Legal team at Itron. You will work with attorneys and business partners as well as other stakeholders. We are seeking a detail-oriented, energetic, flexible, responsible, and collaborative professional who takes great pride in their work. This impactful role is responsible for managing a broad range of legal, corporate and administrative matters globally. The primary focus of the role is supporting the business and counsel on complex corporate commercial, financing and M&A transactions, maintenance of corporate books and records, and cross-functional collaboration with finance and accounting teams. Role will also require working closely with other team members on SEC governance issues and entity management. Direct experience in these matters is very strongly preferred. While fully supported by a global legal team, this role requires the ability and willingness to operate independently and take initiative in a fast-paced environment with minimal supervision. Ability to effectively use collaborative technology tools and third-party vendor portals is required to successfully execute this role. Excellent judgment, strong verbal and organizational skills, and the ability to prioritize a rapidly changing workload. Must also have strong interpersonal skills and the ability to collaborate with individuals at all levels of the organization in a positive, service-oriented manner.

Responsibilities:

  • Reports to Itron's senior attorney for Corporate and Securities matters;
  • Responsible for organizing and helping to standardize Legal's M&A practice, including maintaining electronic data rooms, creating and maintaining due diligence lists and records, drafting and creating and maintaining form templates;
  • Work closely with, and often in direct support of, internal clients in the global finance, accounting, tax, treasury and payroll, including with their creation of new entities, facilities or other financial instruments;
  • Draft corporate actions and agreements for attorney review;
  • Support various corporate administrative processes including distributing of legal documents and agreements for signature, notarizations, apostilles, legalized documents, certified copies, corporate filings, powers of attorney, know-your-client, other third-party requests, and corporate documents as needed;
  • Will work closely with other team members from time to time on entity management, including preparation, execution and documentation of board, director and shareholder actions and meetings; filings to include annual reports, corporate, tax and similar filings; corporate approvals of financials; and all other general corporate governance needs.
  • Assist with corporate transactions, including M&A and other special projects;
  • Assist with legal research and work on other special projects, as directed by attorneys;
  • Assist with administrative duties in support of corporate attorneys;
  • Performs other job-related duties as assigned

Qualifications:

  • Bachelor's Degree or Associates Degree/paralegal certificate required;
  • Experience as a Corporate Paralegal in a law firm and/or experience working in in-house corporate legal department (preferably at a public company), including general exposure to corporate law, finance, and tax.;
  • Experience with international corporate governance and legal entity management as a corporate paralegal supporting multinational companies with international business operations preferred
  • Exceptional interpersonal, verbal and written communication skills with ability to work in a cross-functional and geographically dispersed environment with multiple stakeholders and teams;
  • Highly-organized, great attention to detail, ability to work independently and adept at managing and completing several simultaneous projects in a team-oriented environment;
  • Strong work ethic with customer/client focused approach;
  • Ability to work effectively with other internal departments;
  • Excellent computer skills (Adobe and Microsoft Word, Excel and PowerPoint);
  • Strong project management skills;
  • Commitment to ethics, professionalism and collegiality;
  • Must possess good judgment in making decisions and be creative in solving problems;
  • Maintains a flexible mindset and willingness to adapt to change
